IMPORTANT — Please read this End User License Agreement carefully before using PREVA.ai or any PREVA Services. By accessing or using the Services, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Services.

1. Parties and Definitions

This Agreement is between PREVA Labs LLC, a Florida limited liability company ("PREVA," "we," "us," or "our"), and you, the individual or entity accessing or using the Services ("User," "you," or "your").

1.2 Definitions

  • "AI Companion" means the artificial intelligence system provided through the Services that engages in personalized, text-based conversational interactions with Users, including but not limited to emotional support, memory-based continuity, and preference-adapted responses.
  • "Affective Features" means the text-based sentiment analysis, emotional awareness, and adaptive response capabilities of the AI Companion.
  • "Cognitive Memory System" means the proprietary persistent memory architecture that stores, compresses, and recalls information from User interactions across sessions.
  • "Services" means the PREVA.ai website, applications, APIs, AI Companion functionality, and all related tools, features, and content provided by PREVA.
  • "User Data" means any text, information, preferences, behavioral patterns, or other data generated through your use of the Services.
  • "The Vault" means the secure classification system for sensitive personal disclosures within the Cognitive Memory System.

2. Important Disclosures

2.1 AI Nature Disclosure

PREVA is an artificial intelligence system. It is not a human being. All interactions through the Services are with an AI Companion powered by large language models and proprietary memory systems. While the AI Companion may simulate conversational patterns associated with human interaction, it does not possess consciousness, emotions, sentience, or subjective experience.

2.2 Not a Licensed Professional

The AI Companion is not a licensed therapist, counselor, psychologist, psychiatrist, physician, attorney, financial advisor, or any other licensed professional. The Services do not constitute medical advice, mental health treatment, legal counsel, financial guidance, or any professional service. Do not use PREVA as a substitute for professional care.

2.3 Periodic Reminders

In compliance with applicable law, PREVA will periodically remind you during interactions that you are communicating with an AI system, not a human. These reminders are required by law and are a condition of your use of the Services.

2.4 Crisis Resources

If you or someone you know is experiencing a mental health crisis, suicidal thoughts, or self-harm:

  • Emergency Services: Call 911 (US) or your local emergency number

PREVA incorporates automated detection of crisis-related language and will provide crisis resources when potentially harmful content is detected. This does not replace professional intervention.

3. License Grant and Restrictions

3.1 License Grant

Subject to your compliance with this Agreement, PREVA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

3.2 Restrictions

You may not:

  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Services
  • Reverse engineer, decompile, or attempt to derive the source code, algorithms, or architecture of the Services, including the Cognitive Memory System or Affective Features
  • Use the Services to develop competing AI companion, emotional AI, or persistent memory systems
  • Use automated tools, bots, or scrapers to access the Services except through approved APIs
  • Attempt to extract, replicate, or reconstruct any PREVA proprietary models or memory architectures
  • Use the Services to generate content that is illegal, harmful, threatening, abusive, or defamatory
  • Impersonate any person or entity
  • Use the Services in any manner that could damage, disable, or impair the Services
  • Use the Services for commercial purposes without prior written consent from PREVA
  • Circumvent, disable, or interfere with any security, access control, or rate-limiting features

3.3 Reservation of Rights

All rights not expressly granted herein are reserved by PREVA. The Services contain proprietary technology protected by patents (pending and issued), copyrights, trade secrets, and other intellectual property rights.

4. Account Registration and Eligibility

4.1 Age Requirements

  • Users must be at least 13 years of age to create an account or use the Services.
  • Users between ages 13 and 17 ("Minor Users") may only use the Services with verified parental or legal guardian consent.
  • Users under age 13 are prohibited from using the Services. If we learn that we have collected personal information from a child under 13 without verified parental consent, we will delete that information promptly in accordance with COPPA.

4.2 Minor User Protections

For Minor Users, the following additional protections apply:

  • Periodic break reminders encouraging healthy usage patterns
  • Content filters blocking sexually explicit, self-harm-promoting, or age-inappropriate content
  • AI disclosure reminders at least every three (3) hours of interaction
  • Enhanced data collection and retention restrictions
  • Parents and legal guardians may request review, deletion, or restriction of Minor User data at any time

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify PREVA immediately of any unauthorized use.

5. AI Companion Services

5.1 Nature of the AI Companion

The AI Companion uses large language models, proprietary memory systems, and text-based analysis to provide personalized conversational interactions. The AI Companion may:

  • Remember information you share across sessions using the Cognitive Memory System
  • Adapt its communication style based on your preferences and interaction history
  • Analyze text-based sentiment to provide contextually appropriate responses
  • Classify and protect sensitive disclosures through The Vault system

5.2 Limitations and Disclaimers

  • Accuracy: The AI Companion may generate inaccurate, incomplete, or inappropriate responses. Do not rely on responses for important decisions without independent verification.
  • Emotional Simulation: Expressions of empathy, concern, or care are simulated text outputs, not genuine emotions.
  • Memory Accuracy: The Cognitive Memory System may occasionally misremember, conflate, or lose information.
  • Availability: The Services may be interrupted for maintenance, updates, or technical issues.
  • AI Behavior: Despite safety measures, the AI Companion may occasionally produce unexpected or inappropriate outputs.

5.3 Safety Protocols

  • Crisis Detection: Automated monitoring for language indicating suicidal ideation, self-harm, or immediate danger
  • Content Filtering: Systems to prevent generation of harmful, illegal, or age-inappropriate content
  • AI Disclosure: Periodic reminders of the AI nature of the Companion
  • Human Escalation: In potentially dangerous situations, PREVA may escalate to human review

6. User Data and Privacy

6.1 Data Collection

Your use of the Services involves the collection and processing of User Data as described in our Privacy Policy. By using the Services, you consent to such collection and processing.

6.2 Cognitive Memory System

  • The Cognitive Memory System stores conversation data, preferences, and behavioral patterns to provide continuity and personalization across sessions.
  • Memory data is processed through a tiered compression system. Older data may be summarized while preserving key context.
  • You may request review of data stored in the Cognitive Memory System at any time.

6.3 Sensitive Data (The Vault)

  • The Vault automatically classifies sensitive disclosures — including medical, family, financial, abuse, and legal information — for enhanced protection.
  • Vault-classified data is subject to additional access controls and will never be surfaced in group contexts, shared with third parties, or used for advertising.
  • Vault classification is automatic and permanent.

6.4 Your Data Rights

Subject to applicable law, you have the right to:

  • Access: Request a copy of your User Data, including Cognitive Memory data
  • Deletion: Request deletion within thirty (30) days, subject to legal retention obligations
  • Correction: Request correction of inaccurate data
  • Portability: Request data in a structured, machine-readable format
  • Opt-Out: Opt out of persistent memory, behavioral profiling, and sentiment analysis
  • Restrict Processing: Request limitation under certain circumstances
  • Withdraw Consent: Withdraw at any time, understanding this may impact functionality

6.5 Data Retention

  • User Data is retained for the duration of your active account plus a reasonable period for legal compliance
  • Upon account deletion, data is purged from active systems within thirty (30) days and backups within ninety (90) days
  • Anonymized, aggregated data may be retained indefinitely for research and improvement
  • Data subject to legal hold may be retained beyond these periods as required by law

7. Intellectual Property

7.1 PREVA Intellectual Property

The Services, including the Cognitive Memory System, Phase Compaction Memory architecture, Affective Layer, Vault classification system, and all related technology, are the exclusive property of PREVA Labs LLC, protected by U.S. and international patent, copyright, trade secret, and other intellectual property laws.

7.2 User Content

  • You retain ownership of original content you create and share through the Services.
  • You grant PREVA a non-exclusive, worldwide, royalty-free license to use, store, process, and analyze your User Data solely for providing, maintaining, and improving the Services.
  • This license does not grant PREVA the right to sell your User Data or use it for third-party advertising.

7.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Services may be used by PREVA without obligation or compensation to you.

8. Autonomous Agent Features

8.1 Agent Commerce

If the Services include features enabling AI agents to initiate transactions on your behalf:

  • Authorization: You must explicitly authorize any Agent Commerce Features before activation. No transaction will be initiated without your prior consent.
  • Confirmation: All transactions above a threshold you set require explicit confirmation.
  • Liability: You are responsible for transactions you authorize. PREVA is not liable for purchases made within your authorization scope.
  • Unauthorized Transactions: Contact support@preva.ai immediately if you believe an unauthorized transaction has occurred.
  • Cancellation: You may deactivate Agent Commerce Features at any time through account settings.

8.2 Multi-Agent Interactions

  • PREVA maintains audit logs of inter-agent communications
  • Your data shared between agents is subject to the same privacy protections as direct interactions
  • You will be informed when your data is shared with agents outside the PREVA ecosystem, and consent will be obtained where required

9. Subscription and Payment

9.1 Free and Paid Tiers

The Services may be offered in free and paid subscription tiers. Features, usage limits, memory capacity, and other capabilities may vary by tier.

9.2 Billing

  • Paid subscriptions are billed in advance on a recurring basis (monthly or annually)
  • All fees are stated in U.S. dollars unless otherwise indicated
  • PREVA reserves the right to change pricing with thirty (30) days' advance notice

9.3 Cancellation and Refunds

  • You may cancel your subscription at any time through account settings
  • Cancellation takes effect at the end of the current billing period
  • Refunds are handled in accordance with applicable law and PREVA's refund policy

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. PREVA expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

PREVA does not warrant that the AI Companion's responses constitute professional advice of any kind. The Services are not a substitute for professional medical, mental health, legal, financial, or other licensed professional services.

PREVA does not warrant that use of the Services will be beneficial to your mental or emotional well-being. Users who experience distress related to AI Companion interactions should discontinue use and seek appropriate professional support.

11. Limitation of Liability

To the maximum extent permitted by applicable law, PREVA's total liability for all claims arising out of or related to this Agreement shall not exceed the greater of (a) the amount you paid to PREVA in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

In no event shall PREVA be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of data, loss of profits, emotional distress, or business interruption, regardless of the theory of liability.

The limitations in this section apply even if any remedy fails of its essential purpose and to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless PREVA, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of this Agreement; (c) your violation of any applicable law; or (d) your User Data or content.

13. Dispute Resolution

13.1 Governing Law

This Agreement shall be governed by the laws of the State of Florida, without regard to conflict of laws principles.

13.2 Arbitration

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in Miami-Dade County, Florida, or remotely at the arbitrator's discretion.

13.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, collective action, or representative action. You waive any right to participate in a class or collective proceeding.

13.4 Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

13.5 Small Claims

Either party may bring an individual action in small claims court for disputes within the court's jurisdictional amount.

14. Termination

14.1 Termination by User

You may terminate this Agreement at any time by deleting your account and ceasing use of the Services.

14.2 Termination by PREVA

PREVA may suspend or terminate your access at any time, with or without cause, with or without notice. Grounds include violation of this Agreement, illegal activity, abusive conduct, or extended inactivity.

14.3 Effect of Termination

  • Your license to use the Services immediately terminates
  • You may request data export for thirty (30) days following termination
  • After the export period, User Data will be deleted per Section 6.5
  • Sections 7, 10, 11, 12, 13, and 15 survive termination

15. General Provisions

  • Entire Agreement: This Agreement, together with the Privacy Policy and referenced policies, constitutes the entire agreement between you and PREVA.
  • Severability: If any provision is found unenforceable, remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision does not constitute a waiver.
  • Assignment: You may not assign this Agreement without PREVA's consent. PREVA may assign freely.
  • Modifications: PREVA may modify this Agreement with thirty (30) days' notice for material changes.
  • Electronic Communications: By using the Services, you consent to receiving electronic communications from PREVA.
  • Force Majeure: PREVA is not liable for failure or delay caused by circumstances beyond its reasonable control.

17. State-Specific Provisions

17.1 California Residents

  • In accordance with California SB 243, PREVA provides conspicuous AI disclosures, implements self-harm and suicide prevention protocols, applies enhanced protections for minors, and will file annual safety reports beginning July 2027.
  • Under the CCPA/CPRA, California residents have additional rights as described in the Privacy Policy, including the right to opt out of the sale or sharing of personal information.
  • California residents may bring private legal action for SB 243 violations, with minimum statutory damages of $1,000 per violation.

17.2 New York Residents

In accordance with New York's Artificial Intelligence Companion Models Law, PREVA provides: initial and periodic (every 3 hours) AI interaction notification; automated detection of suicidal ideation and self-harm language; and referral to crisis resources including the 988 Lifeline.

17.3 European Economic Area Residents

  • EEA users are afforded all rights under the GDPR, including access, rectification, erasure, restriction, portability, and objection.
  • PREVA's legal bases for processing include consent, contractual necessity, and legitimate interest.
  • For EU AI Act purposes, the PREVA AI Companion is classified as limited-risk, subject to transparency obligations. PREVA does not employ biometric emotion recognition.

17.4 Colorado Residents

If any PREVA feature constitutes a high-risk AI system under the Colorado AI Act (SB24-205), PREVA will provide notice, explanation, and appeal mechanisms as required.

By using PREVA.ai, you acknowledge that you have read, understood, and agree to be bound by this End User License Agreement.
